1. Acceptance of Terms

Welcome to SkootBook. These Terms and Conditions ("Terms", "Terms and Conditions") constitute a legally binding agreement between you ("User", "You", "Your") and SkootBook ("we", "us", "our") governing your access to and use of the SkootBook platform, including any related services, features, content, and applications.

By accessing, registering for, or using SkootBook, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

These Terms apply to all users of SkootBook, including but not limited to school administrators, teachers, coordinators, and any other authorized personnel.

2. Description of Service

SkootBook is an educational technology platform designed specifically for South African Foundation Phase education (Grades R-3). The platform provides the following services:

  • Academic calendar management (terms and weeks)

  • Learning objectives management at grade and class levels

  • Student assessment tracking and recording

  • Automated intervention group generation based on assessment data

  • Progress reporting and analytics

  • Multi-tenant architecture providing data isolation per school

SkootBook is provided as a Software as a Service (SaaS) platform accessible via web browsers. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to users.

3. User Accounts and Registration

3.1 Account Creation

To access SkootBook, schools must register and create an account. By registering, you represent and warrant that:

  • You are a duly authorized representative of the school or educational institution

  • All registration information you submit is accurate, complete, and current

  • You have the legal authority to bind the school to these Terms

  • You will maintain the accuracy of such information

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use strong, unique passwords

  • Immediately notify us of any unauthorized use of your account

  • Ensure all users within your school follow security best practices

  • Not share login credentials with unauthorized individuals

  • Log out from your account at the end of each session

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties, or for any other reason.

4. User Responsibilities and Acceptable Use

As a user of SkootBook, you agree to use the platform responsibly and in compliance with all applicable laws and regulations. You agree NOT to:

  • Use the service for any unlawful purpose or in violation of any local, state, national, or international law

  • Violate or infringe upon the rights of others, including intellectual property rights, privacy rights, or any other proprietary rights

  • Upload, transmit, or distribute any harmful, offensive, defamatory, or otherwise objectionable content

  • Attempt to gain unauthorized access to the platform, other user accounts, or computer systems or networks

  • Interfere with or disrupt the service or servers or networks connected to the service

  • Use any automated systems, including robots, spiders, or scrapers, to access the service

  • Reverse engineer, decompile, or disassemble any part of the platform

  • Remove, obscure, or alter any legal notices displayed in or along with the service

  • Share, sell, rent, or otherwise distribute access to your account to third parties

  • Input false, misleading, or inaccurate student assessment data

5. Student Data and Privacy

Schools using SkootBook remain the data controller for all student information entered into the platform. We act as a data processor in accordance with POPIA and GDPR.

Schools are responsible for:

  • Obtaining necessary consents from parents/guardians for collecting and processing student data

  • Ensuring compliance with applicable data protection laws

  • Informing parents/guardians about how student data is used within the platform

  • Handling data subject access requests from parents/guardians

  • Ensuring accurate and appropriate assessment data is entered

6. Intellectual Property Rights

6.1 SkootBook Intellectual Property

The SkootBook platform, including but not limited to its software, code, design, graphics, user interface, functionality, content, and all related intellectual property rights, is owned by SkootBook or its licensors and is protected by South African and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your school's internal educational purposes.

6.2 User Content

You retain all ownership rights to the data, content, and information you input into the platform ("User Content"), including student assessment data, objectives, and other educational records.

By using SkootBook, you grant us a limited license to use, store, and process your User Content solely for the purpose of providing and improving the service. We will not use your User Content for any other purpose without your explicit consent.

7. Limitation of Liability

IMPORTANT NOTICE:

To the maximum extent permitted by South African law, SkootBook and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Any loss of profits, revenue, data, use, goodwill, or other intangible losses

  • Any damages resulting from your access to or inability to access the service

  • Any damages resulting from unauthorized access to or alteration of your transmissions or data

  • Any errors or omissions in any content or data

  • Any educational or assessment decisions made based on the platform's data or reports

Our total liability to you for all claims arising out of or relating to these Terms or your use of the service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

8. Disclaimers and Warranties

SkootBook is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding:

  • The accuracy, completeness, or reliability of any content or information provided through the service

  • The uninterrupted or error-free operation of the service

  • The fitness of the service for any particular purpose

  • The security of your data or communications

  • The correction of any errors or defects in the service

SkootBook is an educational tool designed to assist teachers and schools. It does not replace professional educational judgment, assessment practices, or pedagogical expertise. Users are solely responsible for all educational decisions made using the platform.

We do not guarantee that the service will meet your requirements or that it will be compatible with all hardware and software configurations.

9. Indemnification

You agree to indemnify, defend, and hold harmless SkootBook, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation

  • Your violation of any rights of any third party

  • Your use or misuse of the service

  • Any User Content you submit, post, or transmit through the service

  • Your failure to obtain necessary consents from parents/guardians for student data

  • Any breach of your data protection obligations

10. Service Availability and Maintenance

While we strive to provide continuous access to SkootBook, we do not guarantee uninterrupted service. The platform may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)

  • Emergency maintenance or repairs

  • Technical issues beyond our control

  • Force majeure events

We will use reasonable efforts to minimize service disruptions and provide advance notice of scheduled maintenance via email or platform notifications.

11. Data Backup and Export

While we maintain regular backups of platform data, you are responsible for maintaining your own backups of critical information. We provide data export functionality to enable you to:

  • Export assessment reports and student progress data

  • Generate and download reports in various formats (PDF, Excel, CSV)

  • Maintain local copies of your educational records

We strongly recommend regular exports of your data to ensure you have access to your records independent of the platform.

12. Termination

12.1 Termination by You

You may terminate your account at any time by visiting our Support Page. Upon termination, you remain responsible for any outstanding obligations.

12.2 Termination by Us

We may suspend or terminate your access to the service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms

  • Non-payment of fees (if applicable)

  • Fraudulent or illegal activity

  • At our discretion for operational or legal reasons

12.3 Effect of Termination

Upon termination:

  • Your right to use the service will immediately cease

  • You will have a grace period of 30 days to export your data

  • After the grace period, your data may be deleted in accordance with our data retention policy

  • All provisions of these Terms that by their nature should survive termination shall survive

13. Changes to Terms and Conditions

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Sending email notification to the address associated with your account

  • Displaying a prominent notice within the platform

  • Posting the updated Terms on our website with a new "Last Updated" date

Your continued use of SkootBook after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue using the service.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts of South Africa.

These Terms are subject to the provisions of the Consumer Protection Act 68 of 2008, the Protection of Personal Information Act 4 of 2013 (POPIA), and the Electronic Communications and Transactions Act 25 of 2002 of South Africa.

15. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the service, the parties agree to:

Step 2: Mediation

If informal resolution fails, the parties agree to attempt mediation before pursuing litigation

Step 3: Litigation

If mediation is unsuccessful, either party may pursue litigation in accordance with Section 14 above

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the platform, constitute the entire agreement between you and SkootBook concerning your use of the service and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of SkootBook.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you. Any attempted assignment in violation of this section shall be null and void.

Acknowledgment and Acceptance

By using SkootBook, you acknowledge that you have read these Terms and Conditions, understand them, and agree to be bound by them. If you are accepting these Terms on behalf of a school or educational institution, you represent and warrant that you have the authority to bind such entity to these Terms.
